Parlex Meeting in Turin, Italy

Donna R. Newman, New Special Counsel to D&A

Delanney & Associates, LLP is pleased to welcome Donna R. Newman as special counsel to the firm. Ms. Newman is a prominent Federal litigator and criminal defense attorney. She predominately practices criminal defense in federal court and represents criminal defendants in complex litigation, securities fraud, money laundering, white collar crimes, civil litigation & appeals, and cases involving both international and constitutional law. Ms. Newman has represented well over 500 hundred clients in such matters from simple frauds to complex securities fraud and racketeering cases. The work of Donna R. Newman and her staff is well known as is evidenced by her choice as the 2003 and 2004 National Association of Criminal Defense Lawyers President’s Award and her selection as one of the Lawyers of the Year for 2002 by Lawyers Weekly, USA. Donna R. Newman Participates in Debate at New York University on Scope of Presidential Powers

On April 28, 2006, Ms. Newmann participated extensively in a debate organized by New York University on the scope of Presidential powers in the United States. Panelists of all political stripes participated in the debate organized by the NYU Center of Law and Security. They included: Seventh Circuit Judge Richard Posner, Former Senior Advisor to President Clinton: Sidney Blumenthal, Former Assistant US Attorney General for legal policy under President Bush: Viet Dinh, and David Rivkin, former White House counsel under Presidents Reagan and George H.W. Bush.

Bates Wells Braithwaite Advises on The New Companies Act Which Received Royal Assent on November 8, 2006

The Act was originally intended to modify the Companies Act 1985, but it has developed into the longest act ever to be passed, consolidating and repealing about three quarters of the Companies Act 1985. It has 1,300 sections divided into 40 parts.

However, readers should be aware that apart from new provisions dealing with electronic communication, which come into effect in January 2007*, most of the Act will not come into force for some time.

The government will begin consultation on implementation of the Act through secondary legislation in February 2007.  The secondary legislation will be finalised in July 2007. Implementation is likely to be in stages and the whole Act is expected to be in force by October 2008.

While much of the Act consolidates the current position of company law, there are a number of key legal developments.  These were outlined in their latest form in our last Commercial Law Update and we will be keeping readers fully informed well in advance of the implementation dates.

The Act aims to simplify and streamline existing company law. The government believes the Act will help businesses save £250m a year, including £100m for small businesses.

* Note

Present legislation allows companies to send notices of meetings and copies of annual accounts, directors’ report and auditors’ report by electronic communication by agreement.  It also allows companies to send summary financial statements by electronic means, shareholders and auditors to give notice by such means requiring general meetings to be held and proxies to be appointed by electronic notice to such address as the company may notify. 

The new Act will allow a shareholder to communicate with the company by electronic means where the company has given an electronic address in a notice calling a meeting or in an instrument of proxy or proxy invitation.  It will also allow companies to send documents to shareholders in electronic form, subject to shareholder approval. The intention is to remove existing company law requirements for paper communication. Companies will, for example, be able to make their full annual report and accounts accessible to shareholders via electronic means unless individual shareholders request a paper copy.

Area o.n.l.u.s. Greets D&A Partners

Ms. G. Recchi, Secretary General of Area o.n.l.u.s.,  graciously hosted D&A partners in Turin, Italy.  Area o.n.l.u.s. is a charitable organization which provides a variety of services to developmentally handicapped children and their parents.  Area o.n.l.u.s. applies a psychodynamic and relational approach in supporting handicapped children and young adults, and focuses in particular on the problems facing families. It is involved with all types of pathology and intervenes through rehabilitation programs and support programs to assist families affected by the negative event.

Today Area o.n.l.u.s. is a point of reference for over 1,000 families who are dealing with the problems linked to the handicap.  It leads and supports the activities of other organizations and public and private bodies. It collaborates with the Universities of Turin and Naples to promote a new culture for handicapped childred, and it organizes conferences and roundtables to influence public opinion.

Area o.n.l.u.s. designed and currently operates the following programs:

    This program provides counseling service and support for families with handicapped children aged between 0 and 14, especially during moments of crisis, change and when making choices linked to the growth of the handicapped child.

  • Straniere due Volte

    This program provides support and mediation services for non-EU families with handicapped children in order to create a tailored program to acquire independence, starting with primary needs.

  • Filo Rosso
  • This program organizes workshops offering creativity, play, learning, and promotes initiatives aimed at developing the relational capacities of handicapped young persons. It also structures support groups for parents.

  • Mediateca (Multimedia Library)
  • This program maintains a data bank with 2,600 selected and reviewed programs, which can also be consulted online.  The program managers develop and implement didactic and rehabilitation projects tailored for handicapped children aged between 3 and 18 years old and their parents, using experimental workshops for the use of information technologies.  The program provides structured counseling and training for rehabilitation operators and those working to integrate handicapped children. It also carries out research, promotes conferences and courses for the application of information technologies to the world of handicap.
